1. Overview
Erin Baxter, LLC (“we,” “us,” “our”) provides grant writing, funding strategy, and consulting services to nonprofits and mission-driven organizations. By using this website or engaging our services, you agree to the following Terms of Service.
2. Services
All services are provided based on the scope outlined in a written agreement, proposal, or invoice. Services may include grant readiness assessments, grant research, proposal development, and ongoing funding support.
We reserve the right to adjust timelines or deliverables as needed based on project scope, client responsiveness, or other relevant factors.
3. Pricing & Payment
- Quotes are valid for 30 days unless otherwise stated.
- Work will begin once the scope is approved and any required deposit is received.
- Payment terms will be outlined in your invoice or agreement.
- Late payments may result in delays or suspension of services.
4. Client Responsibilities
Clients agree to:
- Provide accurate and complete information
- Respond to requests for feedback in a timely manner
- Supply necessary documentation and materials
Delays in communication or missing information may impact project timelines and outcomes.
5. Intellectual Property
Upon full payment, final deliverables created specifically for the client will become the client’s property.
Erin Baxter, LLC reserves the right to use generalized or anonymized versions of materials for portfolio or marketing purposes unless otherwise agreed in writing.
6. Confidentiality
All client information is treated as confidential and will not be disclosed to third parties without consent, except where required by law.
7. No Guarantee of Funding
While we provide professional grant writing and strategic support, we do not guarantee that any grant application or funding request will be successful. Funding decisions are made solely by the awarding organizations.
8. Cancellations & Termination
Either party may terminate this Agreement by providing at least thirty (30) days’ written notice to the other party.
- Clients remain responsible for payment of all services performed, expenses incurred, and work completed through the effective date of termination, including any work performed during the 30-day notice period.
- Any required deposit or retainer is non-refundable unless otherwise stated in the applicable service agreement.
Erin Baxter, LLC reserves the right to suspend or terminate services immediately, without the 30-day notice requirement, if the Client materially breaches this Agreement, fails to make timely payments, engages in abusive or inappropriate conduct, or if continued services become impractical due to a lack of communication, cooperation, or information necessary to complete the agreed-upon work. In such cases, the Client remains responsible for payment for all work completed and expenses incurred through the date services are terminated.
9. Limitation of Liability
Erin Baxter, LLC is not liable for any indirect, incidental, or consequential damages arising from the use of our services.
Our total liability is limited to the amount paid for the specific service in question.
10. Data Protection
Any personal or organizational information provided will be handled in accordance with applicable data protection laws and our Privacy Policy.
11. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, United States of America.
12. Independent Business Relationship
Erin Baxter, LLC is an independent business entity providing consulting and professional services to its clients. Nothing in these Terms of Service or in any engagement shall be construed to create a partnership, joint venture, employer-employee, fiduciary, or agency relationship between Erin Baxter, LLC and the Client.
Erin Baxter, LLC and the Client each retain sole control over their respective business operations, personnel, and methods of performing their responsibilities under this Agreement.
Erin Baxter, LLC has no authority to enter into agreements, incur obligations, or make representations on behalf of the Client unless expressly authorized in writing.
The Client remains solely responsible for its organization’s governance, operations, legal and regulatory compliance, and the accuracy and completeness of all information, documents, and certifications submitted in connection with any grant application, funding request, or related engagement unless otherwise agreed in writing.
